Business Filing Lookup
Business filing search
Quick answer. A business filing search finds the stamped documents behind an entity: articles of organization or incorporation, amendments, and periodic reports. Search by name to discover the file number, then by file number when you already have a receipt.
Steps
-
Start from the receipt if you have one
A filing number or entity number beats a name search. Type it exactly, including letters.
-
If you only have a name, find the number
Run the name search, open the matching detail, and copy the file number before you read anything else.
-
List the filing history in date order
Newest event last or newest event first, but do not skip. A dissolution filed after a reinstatement is the one that controls.
-
Match the document title to your question
Articles answer “was it formed.” An amendment answers “did the name or the agent change.” An annual report answers “did they file this year’s update.”
-
Order the copy you were actually asked for
Plain copy, certified copy, and certificate of status are three products. The fee schedule on the state site names them separately.
Filings are events, not a single status word
A business filing is an event with a date and a stamp. The status on the summary is the office’s conclusion after those events. If you are reconciling a deal, list the events: formed, amended, merged, dissolved, reinstated. A “business filing tracker” product that only pings a status word will miss an amendment filed yesterday.
Articles of organization create an LLC. Articles of incorporation create a corporation. They are different forms, often different fees, and they live in the same index. An annual report is not a new formation. It updates the public record the state chose to collect.
Certified copies are ordered from the filing office, usually by file number, and they cost more than the free search. A plain PDF from the public images may be enough for your own notes and not enough for a recorded instrument. Ask the recipient which one they will accept.
Common mistakes
- Searching a confirmation email’s internal order id as if it were the state file number.
- Assuming every state calls the identifier a “filing number.” Some say entity number, charter number, or document number.
- Treating an annual report receipt as articles of organization.
- Expecting a free search to produce a raised-seal copy.
Questions
What is an SOS business filing?
It is a document accepted by the state corporations office, whether or not that office is formally called the secretary of state.
Can I look up articles of organization online?
Often yes, as an image linked from the entity detail. If the image is not online, the office still sells a copy by file number.
How fast is a certified copy?
That depends on the office. The free index is immediate. Certified copies follow that office’s stated processing time.
